SpaceX Completes $60 Billion Acquisition of Cursor

SpaceX closed its acquisition of Cursor on 14 August 2026. That is the news. The merger agreement from 16 June is already on the record. Friday’s 8-K is the close.

Space Exploration Technologies Corp. filed an SEC Form 8-K stating that the merger with Anysphere, Inc. (Cursor) became effective that day. Cursor survived as a wholly owned SpaceX subsidiary. The consideration was SpaceX Class A common stock, based on an implied Cursor equity value of $60.0 billion.

Cursor’s company blog the same day put it in one sentence: “Cursor has officially been acquired by SpaceX.”

What the 8-K Actually Says

The filing is an all-stock merger. A SpaceX subsidiary merged into Cursor, and Cursor is the surviving company, now wholly owned by SpaceX. Outstanding Cursor common and preferred shares converted into SpaceX Class A shares. Vested Cursor RSUs converted into SpaceX Class A shares. Unvested RSUs and options converted into SpaceX RSUs and options.

The $60.0 billion figure is the implied equity value in that 8-K. Cursor’s own post does not state the number. Use the filing for deal terms.

What the Filing Leaves Alone

This is not a product announcement. The 8-K does not say Cursor will default to Grok, drop Claude or GPT, or retire the Cursor name. Those claims are not in the filing and they are not in the one Cursor line this piece uses. We are not going to write them in.

Ownership changed. The editor you open is now a SpaceX subsidiary. Pricing, model lineup, and the brand on the window are not in the 8-K. When those change in a primary source, that is a different story.
